H&D Data Solutions

HD Retail End User License Agreement

Effective date: August 1, 2026

This End User License Agreement ("Agreement") is between H&D Data Solutions, LLC ("Provider," "we," "us," or "our") and the business or organization that accesses or uses HD Retail (the "Application") ("Customer," "you," or "your"). By accessing or using the Application, you agree to this Agreement.

The Application may integrate with Plaid, Shopify, Intuit QuickBooks Online, and other services authorized by Customer.

1. License

Subject to this Agreement, Provider grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Application for Customer's internal business purposes.

2. The Application

HD Retail is a retail operations platform. Depending on how it is configured, it may support inventory, sales, payments, customers, vendors, memos, repairs, jobs, layaways, appraisals, commissions, messaging, reporting, and accounting workflows, and may create summarized accounting entries in a QuickBooks Online company authorized by Customer.

The Application is not intended to replace Customer's accounting records, tax filings, or professional accounting review.

3. Users and Account Authorization

Customer determines which users may access the Application and the roles and permissions assigned to them, and is responsible for the acts and omissions of its users.

Customer is responsible for authorizing the Application to connect to the appropriate QuickBooks Online company, Shopify store, financial institution, or other third-party account. Customer represents that each person granting access has authority to do so.

Provider's client credentials and other application secrets remain confidential to Provider and are not provided to Customer or Customer's accountant.

4. Financial Account Connections

The Application uses Plaid to allow authorized users to connect financial accounts. By connecting an account, the user authorizes Plaid to access and transmit permitted financial information to the Application for the purposes described in the Privacy Policy, including importing and displaying bank activity, reconciling deposits, and supporting authorized accounting workflows.

The Application does not receive or store the online banking usernames or passwords entered through Plaid Link. Those credentials are handled by Plaid and the applicable financial institution, and Plaid's handling of information is governed by Plaid's End User Privacy Policy.

Authorized users may disconnect a financial institution from the Application. Disconnecting stops future access through that connection and removes or invalidates the associated access credentials. It does not automatically remove records previously created in the Application or in a third-party service.

5. Customer Responsibilities

Customer is responsible for the accuracy of source data, account mappings, accounting classifications, and information submitted through the Application. Customer is also responsible for reviewing entries created in connected accounting systems and for maintaining appropriate accounting controls, books, records, and backups.

Customer is responsible for providing any notices and obtaining any permissions or consents required from its customers, employees, vendors, or other individuals whose information it processes through the Application.

6. Accounting and Tax Disclaimer

The Application provides software functionality and does not provide accounting, tax, legal, or financial advice. Customer should have its accountant, tax professional, or other qualified adviser review the Application's configuration and accounting treatment. Customer remains responsible for tax collection, reporting, remittance, financial statements, and compliance obligations.

7. Third-Party Services

The Application may integrate with third-party services, including Plaid, Shopify, and Intuit QuickBooks Online. Those services are governed by their own terms, policies, availability, and technical requirements. Provider is not responsible for outages, changes, errors, or actions of third-party services.

8. Data Access and Privacy

Provider may access and process Customer data only as reasonably necessary to operate, maintain, secure, support, and improve the Application, subject to Provider's Privacy Policy and applicable law. Customer is responsible for ensuring it has the rights and permissions necessary to provide data to the Application.

Provider does not sell personal information, customer accounting information, or financial account information, and does not share that information for cross-context behavioral advertising.

9. Security

Provider maintains commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer data and integration credentials under its control. No system can guarantee absolute security.

Customer is responsible for protecting its own accounts, user credentials, devices, and access permissions, and must promptly notify Provider if it believes an account or integration has been compromised.

10. Restrictions

Customer may not reverse engineer, copy, resell, sublicense, interfere with, or attempt unauthorized access to the Application except to the extent such restrictions are prohibited by applicable law.

11. Availability and Changes

Provider may update, modify, suspend, or discontinue features of the Application as reasonably necessary. Provider does not guarantee uninterrupted or error-free operation, particularly where functionality depends on third-party APIs or services.

12. Fees

Any fees for use of the Application will be governed by the applicable order, proposal, statement of work, subscription terms, or other commercial agreement between Provider and Customer.

13. Intellectual Property

Provider and its licensors retain all right, title, and interest in and to the Application, software, documentation, and related intellectual property. Customer retains ownership of Customer's business data.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE." PROVIDER DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, TAX PENALTIES, OR BUSINESS INTERRUPTION ARISING FROM USE OF THE APPLICATION.

16. Termination

Either party may terminate Customer's use of the Application as permitted by the applicable commercial agreement. Upon termination, Customer's license ends and Provider may disconnect the Application from Customer's connected accounts. Provisions that by their nature should survive termination will survive.

Return of Customer data

For thirty (30) days after termination, Customer may export Customer's business data using the Application's export features, or request a copy from Provider in a commonly used electronic format. Provider may charge a reasonable fee for extraordinary export assistance beyond the Application's standard export features, and will quote that fee before performing the work.

Deletion of Customer data

After the export period closes, Provider will delete or de-identify Customer's business data held in the Application's production systems within ninety (90) days of termination, and will delete or invalidate the access credentials for Customer's connected accounts. Residual copies in routine backups are removed on the backup cycle described in the Privacy Policy.

Provider may retain information beyond those periods where reasonably necessary for accounting records, audit history, security, dispute resolution, or compliance with legal, regulatory, or tax obligations, or where Customer instructs Provider in writing to retain it. Information retained under this Section remains subject to the confidentiality and security obligations of this Agreement for as long as it is held.

Termination does not remove accounting entries or other records previously created in a Shopify store, QuickBooks Online company, or other third-party service. Those records remain under Customer's control and are governed by that service's terms.

17. Governing Law

This Agreement is governed by the laws of Texas, without regard to conflict-of-law principles.

18. Changes to this Agreement

Provider may update this Agreement from time to time. Material changes will be communicated as required by applicable law or the parties' commercial agreement.
